General Terms and Conditions for the use of the software

Purpose of the Contract The purpose of these general terms and conditions of use (hereinafter referred to as the “GTCU”) is to define the terms and conditions of use of the software (hereinafter referred to as the “Software”) offered by Logiciels Panza Inc, a company registered in the Quebec Enterprise Register under number 1178421989, and used by the user (hereinafter referred to as the “User”).

Acceptance of Terms The User acknowledges having read the present GTU and declares accepting them without reservation. Use of the Software implies full acceptance of the GCU.

Access to the Software The User is granted personal, non-transferable access to the Software, subject to payment of the monthly usage fee. Access to the Software is limited to use in accordance with its intended purpose.

Usage Fees Software usage fees are billed monthly to the User. Payment terms are specified in the service contract or invoice issued by Panza Software Inc.

Responsibilities of the User The User undertakes to use the Software in a lawful manner, in compliance with the laws in force and with these GCU. The User is solely responsible for the use made of his/her account and identifiers.

Intellectual Property The Software, as well as all its component parts (notably texts, images, graphics, logos, etc.), are the exclusive property of Logiciels Panza Inc. and are protected by intellectual property laws.

In no event shall Panza Software Inc. be liable for any direct or indirect damages to the User or any third party resulting from the use of the Software, except in the case of intentional misconduct or gross negligence.

Modification of GTC Logiciels Panza Inc. reserves the right to modify these GTC at any time. Modifications will be brought to the User’s attention by any appropriate means.

Applicable Law and Jurisdiction These TOS are governed by Quebec law and applicable Canadian law. In the event of a dispute, the competent courts will be those of the province of Quebec, judicial district of Montreal.
By accepting these general terms and conditions of use, the User acknowledges having read, understood and accepted all the provisions contained herein.
